H. Richard Hagen, CPA, JD, is an Independent Consultant with The Sargent Consulting Group, LLC. For over a decade, Rich has been an attorney practicing in the areas of structured finance, securities, general corporate law and mergers and acquisitions. Rich’s client base was comprised of numerous financial institutions and national investment banks for whom he conducted structured finance transactions related to exempt facility financings of solid waste disposal facilities, pollution control facilities and environmental facilities involving utility cooperatives, clean renewable energy bonds (CREBs) and single or multi-family housing.
Rich has extensively advised all types of business organizations, including large publicly-held and closely-held entities and commercial clients on form of organization, effects of corporate action and other matters including securities regulation. He has represented several multi-million dollar private and public companies in connection with mergers and significant acquisition/divestiture programs including the sale and disposition of over 40 Arthur Anderson accounting offices.
As counsel, Rich utilizes his expertise in due diligence and compliance to help clients navigate through complicated transactions and issues, and when necessary deftly advises clients on litigation matters, having litigated civil trials, prosecuted criminal violations for several municipalities and argued motions in several jurisdictions.
In addition to being an attorney, Rich has been a certified public accountant (CPA) for over 18 years, providing numerous financial statement audits of financial organizations, manufacturing entities and service corporations. As a CPA, Rich conducts business valuations, internal control audits, general compliance analyses and of course, tax preparations.
Rich received his business and accounting degree from the University of St. Francis where he graduated summa cum laude and his law degree from the University of Illinois College of Law, graduating with high honors. Here, he also received the J. Nelson Young Award, given to the most outstanding tax student and the CALI Award for the most academically outstanding student in International Taxation.
Currently, Rich is the president of the Alumni Association for the University of St. Francis and sits as a Trustee on the University of St. Francis' Board of Trustees. He is a co-founding member of the Business Alumni Network at the University of St. Francis and serves on its Board. Rich is a percussionist with the West Suburban Symphony Orchestra and serves as Treasurer and Executive Member of the New Lenox Soccer Association Board of Directors.
